These Terms of Service ("Terms") govern the use of the MatStudio website and the provision of services by MatStudio ("MatStudio," "we," "us," or "our") to any person or business purchasing or requesting our services ("Client," "you," or "your").
MatStudio operates under the trade name "MatStudio" and is legally known as “MatStudio” , a “sole proprietorship” registered in Belize under registration number “000059389”, with its registered address at “6606 Fidel Castro”.
By requesting, purchasing, approving, or using any MatStudio service, you acknowledge that you have read, understood, and agreed to these Terms.
By accepting these Terms, the Client confirms that they are at least 18 years of age and have the requisite authority to bind the individual or business on whose behalf they are entering into this agreement.
1. About MatStudio
MatStudio provides creative and digital services, including but not limited to:
- Website design
- Website development
- Website deployment
- Responsive website design for desktop, tablet, and mobile devices
- Graphic design
- Social media graphics
- Promotional materials
- Custom digital designs
- Search engine optimization (SEO) services
- Business workflow automation and integration services
- Configuration of forms, email, CRM, scheduling, notifications, data synchronization, and other approved connected workflows
- Configuration of approved automation platforms, APIs, and connected services
- Other creative or digital services agreed upon between MatStudio and the Client
Specific services, deliverables, pricing, timelines, and revision allowances may be established through a proposal, quotation, package description, invoice, project agreement, or other written communication.
2. Project Agreement and Scope
Before work begins, MatStudio will provide the Client with a project proposal, quotation, package description, invoice, or other written description of the services to be provided.
The agreed project scope may include:
- Services to be provided
- Deliverables
- Project price
- Payment schedule
- Estimated timeline
- Number of revisions included
- Client responsibilities
- Hosting or domain requirements
- Other project-specific conditions
MatStudio is responsible only for the services and deliverables expressly included in the agreed project scope.
Requests for additional services or features outside the original scope may result in additional charges and may require a separate agreement.
3. Payments
Unless otherwise agreed to in writing, MatStudio operates under the following payment structure:
50% Deposit: A deposit of 50% of the total project price is required before MatStudio begins work on the project.
50% Final Payment: The remaining 50% is due upon completion and before the final website, files, or applicable deliverables are uploaded, deployed, transferred, or released to the Client.
The deposit confirms the Client's approval to begin the project and reserves MatStudio's time and resources.
Work may not begin until the required deposit has been received.
MatStudio reserves the right to pause or withhold delivery of completed work if an outstanding payment remains unpaid.
Unless stated otherwise in writing, quoted prices are exclusive of applicable General Sales Tax ("GST"). Where MatStudio is registered for GST under the General Sales Tax Act, Chapter 63 of the Laws of Belize, GST will be added to invoices at the prevailing statutory rate and reflected on a compliant tax invoice.
4. Late Payments
If the Client fails to make a required payment when due, MatStudio may:
- Pause work on the project;
- Delay project delivery;
- Withhold files or website deployment;
- Reschedule the project;
- Require payment of outstanding balances before resuming work; or
- Terminate the project in accordance with these Terms.
Any resulting delay caused by late payment may extend the original estimated completion date.
5. Revisions
MatStudio may include a limited number of revisions depending on the service or package purchased.
A revision means a reasonable modification to an existing design or agreed deliverable.
A revision does not include:
- A completely new design;
- A change to the original project direction;
- Additional pages or features;
- New functionality;
- Additional graphics outside the agreed scope;
- Changes resulting from information previously approved by the Client;
- Redesigning a completed project; or
- Work outside the agreed project scope.
Additional revisions or out-of-scope changes may incur additional charges.
MatStudio may determine whether a requested change constitutes an included revision or additional work.
6. Client Responsibilities
The Client is responsible for providing accurate and complete information necessary for the completion of the project.
This may include:
- Logos;
- Brand guidelines;
- Text and written content;
- Images;
- Product information;
- Contact information;
- Social media links;
- Domain and hosting information;
- Login credentials where necessary;
- Business information; and
- Other materials reasonably required for the project.
The Client represents that they have the legal right to provide any materials supplied to MatStudio.
MatStudio is not responsible for delays caused by the Client's failure to provide required information, content, approvals, access, or feedback.
7. Project Timeline
MatStudio will make reasonable efforts to complete projects within the estimated timeline provided to the Client.
Project timelines are estimates and are not guaranteed unless a specific deadline has been expressly agreed to in writing.
Delays may occur because of:
- Late Client responses;
- Missing content;
- Delayed approvals;
- Additional revisions;
- Changes in project scope;
- Technical issues;
- Third-party services;
- Hosting or domain issues;
- Force majeure events; or
- Other circumstances outside MatStudio's reasonable control.
8. Website Hosting, Domains, and Third-Party Services
Unless expressly included in the Client's package or project agreement, domain registration, website hosting, premium plugins, third-party software, paid fonts, stock images, subscriptions, and other third-party services are not included in MatStudio's service fees.
Third-party services are governed by their respective terms and policies.
MatStudio is not responsible for outages, price changes, service interruptions, account suspensions, policy changes, or other issues caused by third-party providers.
9. Website Functionality
MatStudio will make reasonable efforts to ensure that websites function as intended across commonly used modern browsers and devices.
However, MatStudio does not guarantee that a website will operate perfectly on every device, browser, operating system, software version, or third-party platform.
Third-party updates may affect website functionality after completion.
10. Search Engine Optimization
Where SEO services are included, MatStudio will provide the agreed SEO services.
However, MatStudio does not guarantee:
- A specific Google ranking;
- A specific amount of website traffic;
- A specific number of leads;
- A specific number of sales; or
- Any particular search engine result.
Search engine rankings are affected by numerous factors outside MatStudio's control.
11. Intellectual Property
Unless otherwise agreed to in writing, MatStudio retains ownership of its pre-existing materials, processes, templates, systems, methods, concepts, source materials, and reusable design elements.
As the creator of the deliverables, MatStudio is the first owner of all copyright and other intellectual property rights in the final deliverables created specifically for the Client, in accordance with the Copyright Act, Chapter 252 of the Laws of Belize. Upon receipt of full payment, MatStudio grants the Client a non-exclusive, non-transferable license to use the final deliverables created specifically for the Client, solely for the Client's own business purposes and in accordance with the agreed project scope. This license does not transfer ownership of any copyright or other intellectual property rights, and no assignment of copyright occurs except by a separate written agreement signed by MatStudio expressly assigning such rights. The license granted under this section is conditional on payment in full and may be suspended by MatStudio for any outstanding payment. Unless expressly included in the agreed project scope, source files, source code, and administrative or editing access are not included in the deliverables and remain the property of MatStudio.
Unless otherwise agreed in writing, MatStudio may retain the right to display completed work in its portfolio, website, social media, promotional materials, and other marketing materials.
The Client remains responsible for ensuring that any materials supplied by the Client do not infringe the rights of third parties.
12. Portfolio Rights
Unless the Client and MatStudio agree otherwise in writing, MatStudio may showcase completed projects as examples of its work.
This may include screenshots, images, website links, graphics, and descriptions of the project.
If a Client requires a project to remain confidential or private, this should be agreed upon in writing before or during the project.
MatStudio will likewise treat the Client's confidential business information as confidential and will not disclose it to third parties except as reasonably necessary to perform the agreed services, as required by law, or as otherwise agreed in writing.
13. Client-Provided Materials
MatStudio does not claim ownership of materials supplied by the Client.
The Client grants MatStudio permission to use those materials solely as reasonably necessary to perform the agreed services.
The Client is responsible for ensuring that it has permission to use any images, logos, text, fonts, videos, music, trademarks, or other materials supplied to MatStudio.
14. Prohibited Use
Clients may not use MatStudio's services for unlawful, fraudulent, abusive, defamatory, or otherwise prohibited activities.
MatStudio reserves the right to refuse or terminate a project if it reasonably believes that the requested work may facilitate illegal activity or violate the rights of others.
15. Cancellation and Termination
Either party may request termination of a project.
If the Client cancels after MatStudio has begun work, the deposit may be retained to compensate MatStudio for work performed, time reserved, administrative costs, and other project-related expenses, subject to applicable law and any separate written agreement.
If the remaining project balance relates to work already completed or committed costs, the Client may remain responsible for those amounts.
MatStudio may terminate or suspend a project if the Client:
- Fails to make required payments;
- Repeatedly fails to provide necessary information;
- Requests unlawful work;
- Abuses or threatens MatStudio;
- Materially breaches these Terms; or
- Makes completion of the project impractical.
16. Limitation of Liability
To the maximum extent permitted by applicable law, MatStudio will not be liable for indirect, incidental, special, consequential, or unforeseeable losses arising from the use of its services. This exclusion includes, without limitation, loss of profits, loss of revenue, loss of business, loss of data, and business interruption, even if MatStudio has been advised of the possibility of such losses.
MatStudio's total aggregate liability arising out of or in connection with a project, whether in contract, tort, or otherwise, will not exceed, where legally permitted, the total fees actually paid by the Client for that project.
Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited.
17. Automation Services
Where MatStudio provides automation or workflow integration services, the agreed project scope may include configuring triggers, actions, forms, notifications, data transfers, field mappings, scheduled processes, or connections between approved platforms and services.
The Client authorizes MatStudio to access and use the accounts, systems, credentials, data, and permissions reasonably necessary to configure, test, troubleshoot, and deliver the agreed automation. The Client is responsible for ensuring that it has the lawful authority and permissions required for any personal information, customer information, or other data supplied to or processed through the automation.
Automation functionality may depend on third-party software, APIs, subscription plans, account permissions, rate limits, service availability, and provider policies. MatStudio cannot guarantee the uninterrupted availability or continued compatibility of third-party platforms, APIs, or integrations that are outside MatStudio's control.
Changes made by a third-party provider after delivery, including API changes, pricing changes, plan limitations, revoked permissions, or discontinued features, may require additional maintenance, reconfiguration, or development work. Unless included in an ongoing support agreement, such additional work may be quoted separately.
The Client is responsible for maintaining any required third-party accounts, subscriptions, licenses, messaging or email credits, API access, and other external services needed for the automation to operate.
18. Third-Party Content and Services
MatStudio may use third-party platforms, applications, plugins, automation providers, CRM systems, scheduling tools, email or messaging providers, hosting providers, APIs, fonts, stock assets, payment providers, analytics tools, or other services.
MatStudio does not control third-party services and cannot guarantee their continued availability or functionality.
19. Force Majeure
MatStudio will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, internet outages, power failures, cyber incidents, government actions, severe technical failures, labor disruptions, or other extraordinary circumstances.
20. Changes to These Terms
MatStudio reserves the right to update these Terms from time to time.
Updated Terms will become effective when posted on the MatStudio website unless otherwise stated.
The Terms applicable to a project may also be supplemented by the written project agreement between MatStudio and the Client.
21. Governing Law
These Terms shall be governed by the applicable laws of Belize, unless otherwise required by applicable law or expressly agreed in writing.
Where a Client is located outside Belize, mandatory consumer or other applicable laws in that Client's jurisdiction may apply.
22. Disputes
The parties should first attempt to resolve any dispute through good-faith communication.
If a dispute cannot be resolved informally, the parties may pursue the remedies available under applicable law.
Where a dispute cannot be resolved informally, the parties submit to the exclusive jurisdiction of the courts of Belize, without prejudice to any mandatory consumer protection rights the Client may have under the law of the Client's own jurisdiction.
Nothing in this section prevents either party from seeking urgent legal relief where legally available.
23. Indemnification
The Client shall indemnify, defend, and hold harmless MatStudio, its officers, employees, and subcontractors from and against any and all claims, damages, liabilities, losses, and reasonable legal fees arising out of or relating to: (a) content, materials, or information supplied by the Client; (b) the Client's use of the deliverables in breach of these Terms; or (c) the Client's violation of these Terms or applicable law. This obligation survives the termination or completion of the project.
24. Independent Contractor Relationship
MatStudio is an independent contractor. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between MatStudio (including any subcontractors it engages to perform services) and the Client. MatStudio may engage subcontractors or freelancers to perform any part of the services.
25. General Provisions
- Entire Agreement. These Terms, together with any project proposal, quotation, invoice, or written project agreement, constitute the entire agreement between the parties regarding the subject matter herein and supersede all prior or contemporaneous understandings, whether written or oral.
- Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
- No Waiver. No failure or delay by MatStudio in exercising any right under these Terms will operate as a waiver of that right, nor will any single or partial exercise preclude any other or further exercise of that or any other right.
- Assignment. MatStudio may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets. The Client may not assign these Terms without MatStudio's prior written consent.
